These terms and conditions (“Terms”) govern the provision of white-label software solutions and software customization and custom feature development by WooDelivery (“Company”) to individuals or entities (“Customer”). By engaging in these services, you confirm that you have read, understood, and agreed to these Terms. It is your responsibility to periodically review these Terms, and your continued use of Our Software signifies your acceptance of any revised Terms.

1. White-label Software Solution

1.1 Eligibility: The white-label software solution is exclusively available to paid Professional and Enterprise customers. Free trial customers are not eligible to request these services. Payment is mandatory for availing these services. The Company reserves the right to accept or reject any request at its discretion.

1.2 Setup Fee: The setup fee covers all charges associated with publishing the mobile apps in up to three countries. The setup fee for white-labelled apps is non-refundable.

1.3 Monthly Maintenance Fees: Monthly maintenance fees are intended for the maintenance of the white-labelled application, including periodic updates.

1.4 Timeline: The estimated timeline to deliver the white-label solution may vary. The timeline starts from the date of project kick-off, once the setup fee is paid, and all required documents and files are shared by the customer.

1.5 Compliance with Guidelines: In order to publish your white-label apps on Google Play and the App Store, it is essential that your business, product, branding, website, privacy policy, and related resources adhere to the guidelines set forth by Google and Apple.

1.6 No Response Situation: If the customer does not respond to the Company’s communications for more than 7 days, despite reminders, the Company may temporarily put the development on hold. If there is no response for more than 30 days, the Company reserves the right to terminate the contract and services.

1.7 Subscription Duration: To utilize the white-label solution, a minimum continuous subscription period of 12 months is required.

1.8 Subscription Cancellation: In the event that the customer cancels their subscription plan or ceases payment of recurring monthly fees, WooDelivery will discontinue the white-label applications and remove them from the Apple Store and Google Play.

1.9 Brand and Ownership: By engaging in the white-label software solution, you grant WooDelivery a perpetual, worldwide, royalty-free license to use your trademarks, trade dress, logos, and display in connection with the white-label branded application. All software, services, and related resources provided by WooDelivery shall remain the property and ownership of WooDelivery and its licensors, protected under patents, copyright laws, and international treaties.

2. Software Customization & Custom Feature Development

2.1 Eligibility: The customization and custom feature development services are exclusively available to paid Professional and Enterprise customers. Free trial customers are not eligible to request these services. Payment for any modification and custom feature development is required from the customer.

2.2 Change Requests: All change requests for customization or custom feature development require review and approval from the WooDelivery product team. The Company reserves the right to accept or reject any request at its discretion.

2.3 Fee and Payment: Prior to commencing any customization or custom feature development work, the customer is responsible for paying an additional fee determined by the Company. A quote and agreement specifying the scope of work and associated costs will be provided. The customer must pay the invoice in full before the Company commences any customization or custom feature development work. The fee paid by the customer is non-refundable.

2.4 Timeline: The estimated timeline for delivering the custom solution may vary. The timeline commences upon project kick-off, after the setup fee is paid, and all necessary documents and files are provided by the customer. WooDelivery cannot be held responsible for any losses incurred due to delays in releasing the required feature.

2.5 Warranty: The Company does not warranty or guarantee that the customization or custom feature development work will meet the customer’s specific requirements, be suitable for any particular purpose, or be available on an uninterrupted, secure, or error-free basis.

2.6 No Response Situation: In the event of no response from the customer’s side for more than 7 days, despite reminders from the Company, the Company may temporarily put the development on hold until further communication is established. If there is no response for more than 30 days, the Company reserves the right to terminate the contract and services with immediate effect.

2.7 Ownership: You acknowledge and agree that the software, services, and related resources provided by WooDelivery shall remain the property and ownership of WooDelivery and its licensors, protected under patents, copyright laws, and international treaties.

2.8 Intellectual Property: You further acknowledge and agree that all right, title, and interest in and to the services, software, associated intellectual property rights, improvements, modifications, revisions, derivative works, customization, integration work product, white-label branded applications, and source code are and shall remain the sole and exclusive property of WooDelivery.

By requesting white-label software solution, system customization or custom feature development from WooDelivery and upon agreement to provide such services, you acknowledge that you have read, comprehended, and agreed to these Terms and Conditions.
